How many proxies can one person hold at a general assembly?
Belgian law limits the number of proxies a representative can receive at a general assembly.
In Belgium, the Civil Code sets strict rules concerning proxies at co-ownership general assemblies.
Main rule: No one may accept more than three voting proxies. The total votes held by the representative (including their own) may not exceed 10% of the total votes.
In practice:
- The proxy must be in writing and state the representative’s name
- The syndic checks validity before the GA opens
- A proxy without a named representative is void
- The representative may not vote differently from instructions given
